Terms of Service

Faith-Links is an invite-only platform. You may register for an account only if you have received an invitation from an authorized administrator of your organization. By registering, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Subject to your compliance with these Terms and your organization's active subscription, Faith-Links grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal church management and ministry purposes during the term of your subscription.

You may not, and may not permit others to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services;
• Rent, lease, lend, sell, sublicense, or otherwise transfer access to the Services to any third party;
• Use the Services to build a competing product or service;
• Remove, alter, or obscure any proprietary notices on the Services.

You retain all ownership rights in the data and content you submit to the Services ("Customer Data"), including member records, event information, donations, communications, and documents. You grant Faith-Links a worldwide, non-exclusive license to host, store, transfer, and process your Customer Data solely as necessary to provide and improve the Services.

You are solely responsible for the accuracy, legality, and appropriateness of your Customer Data, and for obtaining any consents required to collect, store, and process personal information about your members, including under applicable privacy laws. Faith-Links acts as a data processor on your behalf, as described in our Data Processing Agreement.

You agree to use the Services only in compliance with all applicable laws and in accordance with our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in suspension or termination of your account.

Certain features of the Services require a paid subscription. Subscription plans, pricing, and billing terms are described in our Subscription Agreement and at faith-links.com/pricing. By subscribing, you authorize Faith-Links to charge the applicable fees to your designated payment method on a recurring basis until cancellation.

We respect your privacy and handle personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your use of the Services complies with applicable data protection laws, including obtaining necessary consents from your members.

The Services, including all software, designs, features, and branding, are the exclusive property of Faith-Links and its licensors and are protected by intellectual property laws. The "Faith-Links" name and logo are trademarks of Faith-Links Inc. Nothing in these Terms grants you any right to use our trademarks except as expressly permitted in writing.

Feedback or suggestions you provide about the Services may be used by Faith-Links without restriction or obligation.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, FAITH-LINKS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Faith-Links does not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. You are responsible for maintaining backups of your Customer Data where the Services permit export.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FAITH-LINKS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.

FAITH-LINKS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO FAITH-LINKS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold harmless Faith-Links and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your Customer Data, your use of the Services, your violation of these Terms or applicable law, or your infringement of any third-party rights.

These Terms begin when you first use the Services and continue until terminated. You may stop using the Services at any time. Faith-Links may suspend or terminate your access to the Services immediately, without notice, if you breach these Terms or for any reason at our discretion with reasonable notice.

Upon termination, your right to use the Services ceases. You may export your Customer Data before termination; Faith-Links may delete Customer Data after a reasonable period following termination in accordance with our retention policy.

We may update these Terms from time to time. We will notify account administrators of material changes by email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict-of-laws principles. You and Faith-Links agree to submit to the exclusive jurisdiction of the courts located in British Columbia for any dispute arising out of or relating to these Terms.

You and Faith-Links agree to attempt in good faith to resolve any dispute through negotiation before initiating litigation.

These Terms, together with the Privacy Policy, Acceptable Use Policy, Subscription Agreement, and Data Processing Agreement, constitute the entire agreement between you and Faith-Links regarding the Services. If any provision is held unenforceable, the remaining provisions remain in full force. Faith-Links may assign these Terms without consent; you may not assign them without our prior written consent.
